Acceptance of Terms
By accessing this website, submitting an inquiry form, or entering into a creative service agreement with Bureau of Attention (BOA), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not utilize our digital platforms or secure our content production services.
Services
Bureau of Attention (BOA) is a content studio, creative agency, and production house specializing in attention engineering, brand storytelling, video advertising, monthly social media retainers, and performance marketing content production.
Project Scope
The exact scope, specifications, timeline, deliverables, and budgets for any creative campaign or production project will be defined in a separate written Service Agreement or Statement of Work (SOW) executed between BOA and the client. Any modifications or additions to the defined project scope will require mutual written authorization and may incur supplementary fees.
Client Responsibilities
The client agrees to provide BOA with all necessary assets, brand guidelines, information, product samples, access permissions, and prompt approvals required to execute the project timeline successfully. BOA is not liable for project delays resulting from the client's failure to deliver these prerequisites in a timely manner.
Payments
Clients agree to pay all service fees, retainers, and production costs in accordance with the payment schedule outlined in the executed Service Agreement or Statement of Work. Unless otherwise specified in writing, all invoices are due upon receipt. Late payments may result in the suspension of active campaign operations or service delivery.
Revisions
Unless otherwise specified in the Service Agreement, our standard project fee structures include a set number of revision rounds (typically two rounds of feedback) for deliverable content assets. Revision requests must be detailed and aligned with the original project brief. Requests for substantial changes that deviate from the approved brief will be billed at our standard hourly creative rate.
Intellectual Property
Upon receipt of full and final payment for a campaign or asset, BOA transfers the agreed-upon intellectual property rights and distribution licenses for the final deliverables to the client. BOA retains all rights, ownership, and interest in our underlying methodologies, proprietary story architectures, campaign draft versions, working files, and templates utilized during the creation process.
Portfolio Rights
Bureau of Attention (BOA) retains the irrevocable, non-exclusive right to showcase all completed creative campaigns, branding assets, screenshots, and video clips across our digital portfolio, website case files, social media channels, and award submissions for promotional and promotional purposes, unless specifically restricted by a signed non-disclosure agreement (NDA).
Confidentiality
Both BOA and the client agree to protect and treat as confidential all proprietary information, product strategies, financial details, and commercial disclosures shared during the course of our collaboration, using the same level of care that they would apply to protect their own highly sensitive proprietary assets.
Third-Party Materials
If a project requires the integration of third-party assets (such as stock photography, licensed music, fonts, or actor voiceovers), the client is responsible for obtaining and maintaining all necessary usage licenses and fees, unless BOA explicitly agrees in writing to procure such licenses on the client's behalf.
Limitation of Liability
To the maximum extent permitted by applicable law, Bureau of Attention (BOA) shall not be held liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, advertising performance variations, platform algorithm shifts, revenue dips, or data losses, arising from or related to our creative deliverables or website operation.
Termination
Either party may terminate a service agreement under the conditions, timelines, and notice periods explicitly specified in that agreement. Upon termination, the client agrees to compensate BOA for all completed deliverables and billable creative hours accumulated up to the effective termination date.
Governing Law
These Terms & Conditions and any disputes arising out of our professional services shall be governed by, construed, and enforced in accordance with the laws of India, with exclusive jurisdiction granted to the courts located in Chennai, Tamil Nadu.
Changes to Terms
We reserve the right to revise or update these Terms & Conditions at our discretion. Any modifications will take effect immediately upon their publication on this page. Your continued use of our website or services following any updates represents your binding acceptance of the revised Terms.
